cmdproxy on WinME not being cancelled

Excuse me if this is the wrong place or its been mentioned, but I don't see
this bug in the part of gnu.emacs.bug that my ISP keeps

Emacs 21.1.1 (i386-msvc-windows98.3000) on WindowsME 4.90.3000.

If I bring up the DOS shell window (M-x shell) and then later exit emacs,
I get problems when I later power down my computer.

Going through the normal Windows shutdown (From the Windows trademark
button), gives me the message that "cmdproxy" is running and needs to
be shut down and then it won't let me shut it down.  After this my
computer normally hangs and the only way to get the powerdown sequence
to finish is to unplug it.  (And at next startup, the OS notes the bad
shutdown and spends time going through a disk integrity check).

Trying to cancel the program manually doesn't help.  The C-A-Delete
window does not show a task called cmdproxy in its task list.
