Strange, I just tried midi2ly on my Windows XP and it worked just fine.
Anyway, I don't think that you will find midi2ly that useful even if
you get it up and running. It might work OK for MIDI files generated
by some other notation program even if much of the typesetting
information is lost, but if you have a MIDI file that sounds more
musical then midi2ly will probably get into problems with the rhythm.
Entering the actual notes is often the small part of entering a score,
you will often need to spend more time on slurs, dynamics,
articulations, and so on, that midi2ly doesn't give you anyway.

If you read more carefully in the manual, you will notice that
you need a capital D in \sustainDown and a capital U in \sustainUp.
LilyPond is picky about these things.
